These Terms and Conditions (“Terms”) constitute a legally binding agreement between the User (“You”, “Your”, “Client”) and Pragathi IT Ads Pvt Ltd, operating through its project Pragathi HR Solutions (“Company”, “We”, “Our”, “Us”). The registered office of the Company is located at No. 57, Chikka Banavara, Hessargatta Main Road, Opposite Janapriya Apartment, Bangalore, Karnataka, India – 560090, and our official website can be accessed at www.pragathihrs.com. By accessing, browsing, or using our website or availing any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. These Terms and Conditions, hereinafter referred to as the “Terms of Use” or simply “Terms,” constitute a legally binding agreement between Pragathi IT Ads Pvt Ltd operating under its specialized business vertical Pragathi HR Solutions (hereinafter referred to as the “Company,” “We,” “Our,” or “Us”) and the end-user, which may include individuals, candidates, corporate organizations, or entities seeking our human resource-related services (hereinafter referred to as “User,” “Client,” “You,” or “Your”). By accessing, browsing, or utilizing this website and the services provided through it, you acknowledge that you have read, understood, and agreed to comply with and be bound by these Terms.

If at any point you do not agree with the Terms stated herein, you are advised to immediately discontinue the use of our website and refrain from availing of any of our services. These Terms are published in accordance with the provisions of the Information Technology Act, 2000, along with the rules framed under it, and constitute an electronic record. As such, no physical or digital signatures are required for their enforceability. The Terms apply to all users of the website, whether occasional visitors, registered users, or clients engaging with the Company under commercial agreements.

The primary objective of the Company is to provide professional, reliable, and technology-enabled HR services to assist clients in achieving organizational efficiency, productivity, and workforce stability.

The Company specializes in Recruitment and Staffing, covering both permanent and contractual hiring. This includes executive search and headhunting assignments, campus recruitment initiatives, and large-scale bulk hiring drives tailored to client requirements. Further, through its HR Outsourcing services, the Company undertakes end-to-end human resource process outsourcing, payroll management, statutory compliance monitoring, and maintenance of employee records. This allows organizations to focus on their core business functions while entrusting HR administration to experts.

The Company also extends expertise in Training and Development, offering programs in soft skills enhancement, technical upskilling, leadership development, and employee engagement. These training solutions are designed to foster continuous learning, improve team performance, and prepare future leaders within client organizations.

In addition, Pragathi HR Solutions provides Performance Management services, which include designing appraisal systems, aligning organizational goals with individual key performance indicators (KPIs), and structuring effective review frameworks.

The Company's offerings also extend to Compliance and Legal Support, ensuring that client organizations remain compliant with applicable labor laws and statutory obligations such as Provident Fund, Employee State Insurance, gratuity provisions, and related regulatory filings.

For organizations seeking to structure attractive compensation plans, the Company offers specialized support in Employee Benefits and Compensation, including salary structuring, benchmarking exercises, incentive planning, and employee welfare schemes.

Pragathi HR Solutions also provides high-level HR Consulting services, which involve organizational restructuring, strategic HR planning, and the formulation and implementation of robust HR policies.

For clients requiring a flexible workforce, the Company offers Temporary and Contract Staffing solutions, ensuring the availability of short-term manpower for project-specific needs or seasonal demands.

Additionally, the Company offers Background Verification and HR Audits, which involve pre-employment checks, risk assessments, fraud prevention mechanisms, and overall HR compliance audits.

Finally, through Digital HR Solutions, the Company supports clients with Human Resource Management Systems (HRMS), process automation, and employee self-service portals, thereby integrating technology into HR operations to drive efficiency and transparency.

All the above services are subject to separate commercial agreements, formal engagement letters, and applicable service charges as determined by the Company from time to time.

3. Service Charges

The professional services rendered by Pragathi HR Solutions are chargeable as per the Company's established fee structure. Recruitment and staffing services shall attract a service charge equivalent to eight percent (8%) of the candidate's annual Cost to Company (CTC). This fee is payable by the Client upon successful hiring of the candidate recommended by the Company.

In addition, the Company offers a Replacement Guarantee under specific circumstances. In the event a candidate hired through our services resigns or exits employment within the first three months of joining due to reasons attributable to the candidate and not to the Client's organizational factors, the Company will provide a replacement candidate. Such replacements will attract a nominal charge calculated as a percentage of the candidate's annual package. If the exit occurs within the first month, a replacement shall be made with an additional fee of one percent (1%) of the candidate's annual package. If the exit occurs within the second month, the applicable fee shall be two percent (2%), and if within the third month, the applicable fee shall be four percent (4%).

Important: It is hereby clarified that replacement is provided only once for a particular position and is subject to timely intimation by the Client to the Company. All payments for recruitment and related services are exclusive of applicable taxes, and therefore Goods and Services Tax (GST) and any other statutory levies shall be payable in addition to the agreed service charges. Non-payment of service charges within the stipulated time frame may result in suspension of services or legal action for recovery of dues.

4. Acceptable Use of Website

By accessing or using the Company's website, you agree to engage in lawful use and adhere strictly to the Terms contained herein. The website must not be used for purposes that are unlawful, harmful, fraudulent, or in violation of applicable laws. Users are strictly prohibited from attempting to hack, disrupt, disable, or otherwise compromise the integrity, security, or functionality of the website or the servers on which it is hosted.

Furthermore, no user is permitted to copy, reproduce, distribute, or misuse any part of the website's content, proprietary information, or trademarks without prior written authorization from the Company. Any act of posting false, misleading, defamatory, or offensive material on forms, communication channels, or forums associated with the website shall constitute a violation of these Terms and may invite immediate suspension of access, along with potential legal action.

All personal and organizational data collected through the website, including but not limited to resumes, contact details, and employment history, shall be processed in accordance with applicable privacy and data protection laws, including the Information Technology Act, 2000, and the provisions of the forthcoming Digital Personal Data Protection Act, 2023.

By submitting personal or organizational information through the website, Users consent to the Company's use of such information for recruitment purposes, HR service delivery, communication, and other related business functions. The Company does not engage in the sale, unauthorized sharing, or misuse of personal data. However, certain information may be shared with prospective employers, background verification agencies, or statutory authorities strictly for the purpose of recruitment, compliance, or regulatory obligations.

7. Disclaimer of Warranties

The website and its associated services are provided strictly on an "as is" and "as available" basis. The Company reserves the absolute right, at its sole discretion, to suspend or permanently terminate a User's access to the website or services in the event of a violation of these Terms, misuse of services, breach of confidentiality, non-payment of dues, or any other act deemed detrimental to the Company's operations. Termination may also occur where required by law, regulation, or judicial order.

11. Governing Law and Jurisdiction

These Terms shall be interpreted and enforced strictly in accordance with the laws of India. Any disputes, claims, or controversies arising out of or relating to these Terms, the website, or the services provided by the Company shall fall under the exclusive jurisdiction of the competent courts located in Bangalore, Karnataka.
